Clear Finance Technology Corp. (“Clearbanc” or “we”)

DISCLAIMER: To qualify for our Refer a Founder Program (“Program”), the referred person must be a Qualified Referral (as defined below). This Program is subject to modification or termination at any time without notice.
Participation in the Program may require users to submit personal information about themselves and the referrals. If you do not agree to the terms and conditions contained within this Agreement in their entirety, you are not authorized to register as a referrer or to participate in the Program in any manner..
1) Who can participate?
You must be a company incorporated in the United States or Canada. Participants must be 18 years or older. No credit or payment will be made where doing so could be prohibited by any applicable law or regulations.
2) What is a Qualified Referral?
Subject to the sole discretion of Clearbanc, you and the Qualified Referral that you referred may earn $250 of credits with Uber (the “Credits”) for corporate transportation services for each Qualified Referral. A Qualified Referral is defined by the following:
“Qualified Referral” means a business, company, or other legal entity in the United States or Canada that is referred to Clearbanc solely through this Program that (a) becomes a registered user of the Clearbanc’s service, (b) uses Clearbanc’s service and receives a cash advance by May 2, 2019 and (c) must be earning more than $10,0000 / month in revenue as adjudicated by Clearbanc's diligence system, but was not, in each case, (i) previously referred by another referral partner of Clearbanc (or its affiliates) or (ii) previously a customer of Clearbanc or known to it, in each case determined by Clearbanc.
3) What methods can you use to send referrals to Clearbanc?
You can send referrals to Clearbanc using your unique token generated at inventory.clearbanc.com.
Clearbanc does not allow the use of paid search campaigns that include any branded terms of Clearbanc or any of its partners.
4) Additional Terms
Credits are non-transferable and are subject to availability.
Credit will be applied within [kent] of the day that the referred party becomes a Qualified Referral.
The referrer cannot be associated or otherwise affiliated with the Qualified Referral.
No agency, employee-employer, or franchiser-franchisee relationship is intended or created by this Program.
Any rights hereunder are non-transferable by the Qualified Referral and the referrer and may not be delegated or sublicensed.
Credits will only be available for three Qualified Referrals per referrer.
Each Qualified Referral may only use one referral link. If a Qualified Referral receives referral links from multiple referrers, only the corresponding referrer of the invite link used by the Qualified Referral will receive earnings. This information is tracked by Clearbanc in our secure database.
Cannot be combined with any other offer. We reserve the right to substitute the Credit with a similar value. In case of any disputes, the decision of Clearbanc shall be final.
5) No fraudulent activity, or illegal participation
Clearbanc reserves the right to void referrals and credits earned if we suspect that they were earned in a fraudulent manner, in a manner that violates these terms, or in a manner otherwise not intended by Clearbanc. Likewise, you agree that you will not participate in this Program in a threatening, abusive, illegal, or unsportsmanlike manner.
6) You release us from liability
By participating in the Program, you agree that Clearbanc will have no liability and that you will indemnify and hold Clearbanc harmless for any claim, action, liability, loss, injury, or damage to you or any other person or entity due in whole or in part, directly or indirectly, by reason of your participation in the Program. You will not settle any claim without the prior written consent of Clearbanc. Further, you agree that Clearbanc is not responsible for faulty referral links, any error, omission, interruption, defect or delay in transmission, order processing, or communication; technical or mechanical malfunctions; errors in these terms, in any Program-related materials; human-processing error; failures of electronic equipment, computer hardware or software; damage to your equipment, computer hardware or software, or inaccurate information, whether caused by equipment, programming, human error, or otherwise.
